1. Acceptance and Contract Structure
By using this website, submitting an inquiry, approving a proposal, paying a deposit, or otherwise engaging EstateLuxShoot LLC, you agree to these Terms and any related written estimate, invoice, scope document, or production schedule. For a booked project, the governing contract order is: (a) signed agreement, if any, then (b) accepted estimate or invoice, then (c) these Terms.
2. No Guarantee of Availability or Booking
Calendar availability is not guaranteed until written confirmation is issued and any required deposit is received. EstateLuxShoot LLC may decline, pause, or defer a project request due to scheduling limits, safety concerns, permit constraints, legal restrictions, or non-compliance with client obligations.
3. Services and Scope Control
Services may include photography, video production, drone capture, editing, delivery, and related media support. Final scope is only what is listed in writing. Any added locations, deliverables, talent, travel, editing complexity, platform formatting, or timeline acceleration is treated as a scope change and may require revised pricing, additional production time, or both.
4. Estimates, Pricing, and Cost Adjustments
Estimates are informational until accepted and may expire. Pricing may be adjusted for undisclosed conditions, changed client requirements, delayed approvals, weather impacts, permit or access issues, location complexity, or third-party cost changes. Taxes, platform processing fees, permit fees, talent, and specialized rentals are additional unless expressly included in writing.
5. Deposits, Payment Terms, and Collection Rights
Deposits and scheduling retainers are non-refundable unless stated otherwise in writing. Unless a written term states otherwise, invoices are due upon receipt. EstateLuxShoot LLC may suspend shooting, post-production, file delivery, and usage rights for unpaid balances. Returned payments, chargebacks, and unjustified payment reversals constitute material breach.
Client is responsible for reasonable recovery and collection costs to the extent permitted by law, including processor penalties, legal fees, filing fees, and third-party recovery expenses.
6. Cancellations, Reschedules, Delays, and No-Access
Cancellations or reschedules must be requested in writing. Reserved production windows are valuable and may be billed in full or in part for late cancellation, denied property access, unsafe site conditions, no-show, or client delays that prevent completion. Where feasible, EstateLuxShoot LLC may offer one courtesy reschedule window; additional changes may incur rebooking fees.
7. Client Duties: Access, Authority, and Accuracy
Client must provide complete and accurate project details, lawful property access, and timely decision makers. Client represents and warrants that it has authority to approve filming/photography at each location and to authorize publication of resulting media. Client is solely responsible for owner, occupant, HOA, municipal, and venue permissions, plus model, talent, trademark, artwork, and property releases where required.
8. Site Readiness, Safety, and Operational Control
Property readiness (cleaning, staging, decluttering, lighting prep, utility access) is client responsibility unless separately contracted. EstateLuxShoot LLC may stop or refuse work at any time for unsafe, hazardous, unlawful, or misrepresented conditions. Delays caused by readiness or access failures may trigger wait-time fees, return-trip fees, or partial completion billing.
9. Drone, FAA, and Airspace Limitations
Drone operations are subject to FAA rules, temporary flight restrictions, local ordinances, weather, and pilot judgment. Drone footage is never guaranteed. When drone operation is not lawful or safe, EstateLuxShoot LLC may substitute non-drone coverage or omit the segment without waiving safety or regulatory obligations.
10. Production Timing and Delivery Windows
Turnaround targets are estimates, not guaranteed deadlines, unless explicitly guaranteed in writing. Delivery timing depends on client responsiveness, revision cycles, payment status, and external dependencies. EstateLuxShoot LLC is not liable for launch, listing, or campaign delays arising from late client approvals, client-requested changes, or third-party platform interruptions.
11. Revisions, Change Orders, and Additional Edits
Unless specified otherwise, up to two reasonable revision rounds are included per deliverable. Additional revisions, style reversals, script rewrites, major recuts, alternate versions, platform-specific exports, and rush edits are billable. Work requested after approval is new scope.
12. Acceptance, Deemed Acceptance, and Defect Notice
Deliverables are deemed accepted upon first commercial use, publication, listing launch, or seven (7) calendar days after delivery if no written defect notice is provided. Client must provide specific, actionable revision notes. Vague or rolling feedback may extend delivery timelines and may be billed.
13. File Delivery, Backup, and Retention Limits
Files are delivered by methods chosen by EstateLuxShoot LLC unless otherwise agreed. Client is responsible for immediate download and backup after delivery. Long-term archive storage is not guaranteed; project files may be removed after a commercially reasonable retention period without liability.
14. Intellectual Property Ownership
EstateLuxShoot LLC retains all right, title, and interest in all raw footage, photography, edits, project files, working files, treatment concepts, and website content unless a separate signed transfer expressly states otherwise.
15. License Grant and Usage Restrictions
Upon full payment, client receives a limited, non-exclusive, non-transferable, revocable license solely for the approved business use defined in writing. Prohibited uses without prior written consent include resale, sublicensing, syndication, template redistribution, stock listing, AI model training, and any use that is unlawful, defamatory, deceptive, or rights-infringing.
16. Portfolio, Credit, and Promotional Use
Unless restricted in a signed confidentiality addendum, EstateLuxShoot LLC may display produced work for portfolio, social, educational, proposal, award, and promotional purposes. Confidential launches, embargoes, and takedown constraints must be agreed in writing before production.
17. Client Content Warranties and Takedown Cooperation
Client warrants that all provided logos, scripts, audio, photos, brand assets, and instructions are lawful and properly licensed. If a claim is asserted, client agrees to promptly cooperate in correction, replacement, or takedown steps and to cover resulting third-party claims as required under indemnity obligations.
18. Third-Party Tools and Platform Risk Allocation
Delivery, hosting, communication, and distribution may rely on third-party services. EstateLuxShoot LLC is not responsible for outages, algorithm changes, account restrictions, upload failures, policy updates, or data handling practices of third-party platforms.
19. Non-Circumvention and Solicitation Restrictions
During active projects and for twelve (12) months after completion, client agrees not to directly solicit or contract EstateLuxShoot LLC subcontractors or creative personnel introduced through the project for substantially similar services, except with written consent.
20. Disclaimer of Warranties
Website content and services are provided "as is" and "as available". EstateLuxShoot LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.
21. Limitation of Liability
To the fullest extent permitted by law, EstateLuxShoot LLC will not be liable for indirect, incidental, consequential, special, punitive, exemplary, reputation, opportunity, or lost-profit damages. Total aggregate liability for any claim relating to a specific project is capped at amounts actually paid for that project.
22. Indemnification
Client agrees to defend, indemnify, and hold harmless EstateLuxShoot LLC and its owners, contractors, and affiliates from all claims, liabilities, losses, damages, penalties, and costs (including reasonable attorneys' fees) arising from client materials, lack of permissions, property disputes, unsafe conditions, publication instructions, or breach of these Terms.
23. Force Majeure
EstateLuxShoot LLC is not liable for delay or non-performance due to causes outside reasonable control, including severe weather, fire, flood, labor disruptions, travel interruptions, government actions, infrastructure failures, public health events, or platform outages.
24. Suspension and Termination Rights
EstateLuxShoot LLC may suspend or terminate access, production, or delivery for non-payment, abusive conduct, unsafe or illegal requests, non-cooperation, or material breach. Suspension or termination does not waive client payment obligations for completed work, reserved dates, non-cancelable commitments, or incurred third-party costs.
25. Dispute Procedure and Time Limits
Parties agree to attempt good-faith informal resolution before filing suit. Any claim must be brought within one (1) year after the event giving rise to the claim, to the extent permitted by law, or it is permanently barred.
26. Governing Law and Exclusive Venue
These Terms are governed by California law, excluding conflict-of-law rules. Unless otherwise required by law, exclusive venue for disputes is state or federal court located in Los Angeles County, California, and each party consents to personal jurisdiction there.
27. Assignment, Severability, and Waiver
Client may not assign rights or obligations without written consent. If any provision is held unenforceable, remaining provisions remain in full force. Delay or failure to enforce any right is not a waiver of that right.
